General Terms and Conditions and Customer Information
I. General Terms and Conditions
§ 1 Basic Provisions
(1) These terms and conditions apply to contracts you conclude with us as the provider (gmp international (UG)) via the website https://gmp-railtech.com. Unless otherwise agreed, we object to the inclusion of any of your own terms and conditions.
(2) Our offering is directed exclusively at entrepreneurs ("Unternehmer") within the meaning of Section 14 of the German Civil Code (BGB) — i.e. natural or legal persons, or partnerships with legal capacity, who act in the exercise of their commercial or independent professional activity when concluding the transaction. Consumers within the meaning of Section 13 BGB are excluded from placing orders via this website.
§ 2 Formation of the Contract
(1) The subject matter of the contract is the sale of goods (power supply components for rail vehicles, including auxiliary converters, DC/DC converters, converter modules, and battery chargers) and/or the provision of repair and installation services.
(2) By listing a product on our website, we already make you a binding offer to conclude a contract via the online shopping cart system on the terms specified in the product description.
(3) The contract is concluded via the online shopping cart system as follows: the goods and/or repair services you intend to purchase are placed in the "shopping cart". You can open the "shopping cart" via the corresponding button in the navigation bar and make changes there at any time.
After clicking the "Checkout" or "Proceed to order" button (or a similarly worded button) and entering your personal details as well as the payment and shipping terms, the order data is finally displayed to you as an order summary.
If you use an instant payment system (e.g. PayPal) as your payment method, you will either be taken to the order summary page in our online shop or redirected to the website of the instant payment provider. If redirected, please make the relevant selection or enter your details there. Finally, the order data will be displayed to you as an order summary, either on the payment provider's website or after being redirected back to our online shop.
Before submitting the order, you have the opportunity to review the information in the order summary again, change it (including via the "back" function of your browser), or cancel the order.
By submitting the order via the corresponding button ("order with obligation to pay", "buy" / "buy now", "order subject to charge", "pay" / "pay now", or similarly worded button), you legally declare acceptance of the offer, whereby the contract is concluded.
(4) Your inquiries for the preparation of a quote are non-binding for you. We will provide you with a binding offer in text form (e.g. by email), which you may accept within 5 days (unless a different period is stated in the respective offer).
(5) Order processing and the transmission of all information required in connection with the conclusion of the contract are carried out by email, in part automatically. You must therefore ensure that the email address you have provided to us is correct, that receipt of emails is technically ensured, and that emails are not blocked by spam filters.
§ 3 Special Agreements on the Payment Methods Offered
(1) Credit Check If we provide advance performance — e.g. in the case of payment by invoice or direct debit — we will pass on your data to Creditreform Leipzig KG, Hahnekamm 1, 04003 Leipzig, Germany, for the purpose of a credit check based on mathematical-statistical procedures, in order to safeguard our legitimate interests. We reserve the right to refuse payment by invoice or direct debit based on the result of the credit check.
(2) Payment via "PayPal" / "PayPal Checkout" If you select a payment method offered via "PayPal" / "PayPal Checkout", payment is processed by the payment service provider PayPal (Europe) S.à.r.l. et Cie, S.C.A. (22-24 Boulevard Royal, L-2449 Luxembourg; "PayPal"). Further information on "PayPal" is available at https://www.paypal.com/de/webapps/mpp/ua/legalhub-full.
§ 4 Right of Retention, Retention of Title
(1) You may exercise a right of retention only to the extent that it concerns claims arising from the same contractual relationship.
(2) We reserve title to the goods until full payment of all claims arising from the ongoing business relationship has been made. Prior to the transfer of title to the goods subject to retention of title, pledging or transfer by way of security is not permitted.
(3) You may resell the goods in the ordinary course of business. In this case, you hereby assign to us, in advance, all claims in the amount of the invoice total arising from the resale, and we accept this assignment. You remain authorized to collect the claim. However, if you fail to meet your payment obligations properly, we reserve the right to collect the claim ourselves.
(4) In the event of combination or mixing of the goods subject to retention of title, we acquire co-ownership of the new item in proportion to the invoice value of the goods subject to retention of title relative to the other processed items at the time of processing.
(5) We undertake to release the securities to which we are entitled at your request, to the extent that the realizable value of our securities exceeds the claim to be secured by more than 10%. The selection of securities to be released is at our discretion.
§ 5 Warranty
(1) Only our own statements and the manufacturer's product description are deemed agreed as the condition of the goods; other advertising, public statements, and statements by the manufacturer are not.
(2) In the event of defects, we shall, at our discretion, remedy the defect or provide replacement goods. If the remedy fails, you may, at your discretion, demand a reduction in price or withdraw from the contract. Remedy is deemed to have failed after an unsuccessful second attempt, unless something else follows from the nature of the goods or the defect or other circumstances. In the case of remedy, we are not obliged to bear increased costs incurred by transporting the goods to a location other than the place of performance, unless such transport corresponds to the intended use of the goods.
(3) The warranty period is one year from delivery of the goods. This shortened period does not apply:
- to damage attributable to us through culpable injury to life, body, or health, and to other damage caused intentionally or through gross negligence;
- to the extent that we have fraudulently concealed the defect or assumed a guarantee for the condition of the item;
- to items that have been used for a building in accordance with their customary use and have caused its defectiveness;
- to statutory rights of recourse that you have in connection with defect claims against us.
(4) [Addition compared with the source text – please have this reviewed by a lawyer] Please inspect the goods immediately upon receipt for completeness, obvious defects, and transport damage, and notify us and the carrier of any defects without delay, in order to comply with your commercial duty to inspect and give notice of defects under Section 377 of the German Commercial Code (HGB). If notice is not given in time, the goods are deemed approved, except for defects that were not identifiable on inspection.
§ 6 Choice of Law, Place of Performance, Jurisdiction
(1) German law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of performance for all services arising from our business relationships, and the place of jurisdiction, is our registered office (Leipzig).
